Theassociationupholdstheguidanceofindustryself-discipline,advocates"civilizedrunningtheInternet,civilizedInternet",promotesthehealthyandorderlydevelopmentoftheInternetintheprovince,publicizesnationalpoliciesandregulations,andassiststhegovernmentinstandardizingIndustrycompetition,thepurposeofpromotinginternationalexchangesbetweenindustryandsociety,membersandinter-provincials,andservingmembers,industriesandallsectorsofsocietyasitsownduty,andconstantlypromotingtheadvancementanddevelopmentofGuangdong'sInternetindustry.

MemberManagement

Inordertostrengthenmembermanagement,improveworkefficiencyandservicequality,andpromotethedevelopmentoftheassociation,accordingtotheassociation'scharter,thefollowingmanagementmeasureshavebeenformulated.

1.Membermembership

1.AnyunitorindividualengagedinInternetbusinessandInternet-relatedresearch,development,production,sales,maintenance,educationandmanagementwithintheadministrativeareaof​​GuangdongProvincethatrecognizestheassociation'sarticlesofassociationandpaysduesontimecanapplytojointheassociation.

2.Formembership,theapplicantunitorindividualsubmitsawrittenapplicationandobtainsitfromtheassociationoffice(ordownloadsitfromthe"InstructionsforMembership"and"EnteringtheAssociation"sectionoftheassociation'swebsite)theapplicationformformembershipandtheassociation'sarticlesofassociation.

3.Theapplicantunitfillsintheapplicationformandaffixestheofficialsealoftheunitandsubmitsittotheofficeoftheassociation.

4.Aftertheassociationofficeacceptstheapplicationform,itwillpromptlyreviewandsubmitittothesecretariatforapprovalwithinfiveworkingdays.

5.TheSecretariatoftheAssociationwillstudytheapplicationformwithintenworkingdaysandputforwardapprovalopinions.

6.Theofficeoftheassociationcollectsthemembershipfeefortheunitapprovedforjoiningtheassociation,andissuesmembershipcertificatesandplaquesinatimelymanner,andannouncesittothesocietyinthe"NoticeandAnnouncement"sectionoftheassociation'swebsite.

Second,MemberManagement

1.Theofficeoftheassociationsetsupaspecialpersontomanagethemembership,andenterthememberinformationintothememberdatabase.

2.Membersshouldmaintainregularcontactwiththeassociationandreportthesituationtotheassociationsothattheassociationcanhelpmemberssolveproblems,reflecttheiropinionstorelevantdepartments,andprovidevariousservicessuchasinformationandconsultation.

3.Theassociationshouldgodeepintothememberunitstosolicitopinionsandsuggestions,closetherelationshipbetweenthetwoparties,andarrangevisitstothememberunitsinaplannedwayeachyear.

4.Inthefirstquarterofeachyear,fromJanuarytoMarch,membersvoluntarilypaymembershipfeestotheassociation.Fordetailsofthefees,pleaserefertothe"GuangdongInternetAssociationConstitution?Chapter3Article12".Memberunitsarewelcometousesponsoredmembershipfeestosupporttheworkoftheassociation.Ifmembershavespecialdifficulties,theycanrequestareductionorexemptionofmembershipfees.Torequestareductionorexemptionofmembershipfees,theyshouldfirstsubmitawrittenapplicationtotheassociation,andproviderelevantfinancialandtaxreportsandothersupportingmaterials,whichwillbereviewedbytheassociationsecretariatandsubmittedtotheboardofdirectorsforapproval.

5.Theassociationsendsitsmembersfreeofchargeajournalorworknewsletter,andreportsonthedevelopmentoftheInternetinGuangdong,informstheassociation’sworkandactivitiesintheassociation’swebsiteandjournal(orworknewsletter),reportsonindustrytrends,andconveyssuperiorinstructions,industrypoliciesandlawsRegulations,etc.

6.Theassociationgivesprioritytoparticipatinginactivitiesandpreferentialactivityfeesformemberswhopayduesontimeandactivelymaintainclosecontactwiththeassociation.

7.Thememberunitsorindividualswhohavemadecontributionstotheassociationshallberecommendedbytheofficetothesecretariatandapprovedbytheboardofdirectors.Dependingonthesizeofthecontribution,theywillbegivengeneralstatements,awards,andhonoraryawards.

8.Formemberswhoviolatetheassociation’sarticlesofassociationandotherregulations,dependingontheseverityofthecircumstances,theofficeshallreporttothesecretariatortheboardofdirectorsforapproval,andshallbegivennoticeofcriticism,suspensionofservice,warningandcancellationofmembershiprespectively.

9.Ifthemembershipfeeisnotpaidforoneyearwithoutreason,itwillberegardedasautomaticwithdrawal,andthemembershipqualificationwillbecancelledinthemembershipdatabaseandannouncedtothepublic.Memberswhodonotparticipateintheactivitiesoftheassociationwithinayearwillbecriticizedbytheassociationsecretariatandtheboardofdirectors.

10.Memberwithdrawalshouldhaveawrittenapplicationsubmittedbytheunitorhimself,filloutthewithdrawalapplicationform,andwithdrawwiththeapprovaloftheSecretariat.Whenamemberwithdrawsfromtheassociation,theofficeoftheassociationshallaskittocleanuptheeconomicandotherunfinishedaffairsrelatedtotheassociation,withdrawthemembershipcardandplaque,cancelthemembershipinthemembershipdatabaseandannounceittothepublic.

Instructionsformembership

1.Carefullyreadtheassociation'sarticlesofassociationandmembershipmanagementmethodstounderstandthebasicsituationoftheassociation(seethe"EnteringtheAssociation"columnonthiswebsitefordetails)andtherightsandobligationsofmembers.

2.Determinethemembershipqualificationsyouwishtoobtainaccordingtotheactualsituationoftheunit,suchasordinarymemberunit,boardmemberunitorstandingboardmemberunit,etc.,and"applyformembershiptype"inthegroupmembershipapplicationformAdd"√"tothecorrespondingoptions,andfillinthecorrespondingmemberunitrepresentativeregistrationformordirectorregistrationform,standingdirectorregistrationform,andvicepresidentregistrationform.

3.Submittheapplicationformembershipandrelatedformstothesecretariatoftheassociation,andthesecretariatwillgivefeedbackwithin5workingdays.Aftertheapplicationformembershipofordinarymemberunitsisapprovedbythesecretariatoftheassociation,themembershipfeefortheyearwillbepaid,andtheywillbecomeofficialmembersoftheassociationfromthedateofpublicationinthe"NoticeandAnnouncement"sectionoftheassociationwebsite,andwillreceiveamembershipcardandamembershipplaque.Toapplytobecomeadirectororstandingdirector,vicepresident,etc.,firstshallbereviewedbythesecretariatoftheassociationandapprovedbythepresident,exercisethecorrespondingrightsandfulfillthecorrespondingobligationsfromthedateofpublicationontheassociationwebsite(sameasabove),paythecorrespondingmembershipfeesfortheyear,andreceivethecorrespondingcertificatesandTheplaquebecomesanofficialdirectororstandingdirectorandvicepresidentafterbeingapprovedbythememberrepresentativeassemblyortheenlargedboardofdirectorsandtheboardofdirectors.Memberswishingtochangetheirstatusmustsubmitanapplicationreport.Themethodsandproceduresforapplyingtobecomeadirectororstandingdirectororvice-chairmanarethesameasabove.

4.Inordertoensurethefastandsmoothinformationexchangebetweenmemberunitsandtheassociation,memberunitscandeclaremorethan2relevantpersonsincharge,andfillinthecontactinformationindetail,suchasmobilephone,officephone,Email,detailedmailingaddressandZipcode,etc.(canbefilledinintheremarkscolumnorattachedpaper).

5.Thecontactbetweentheassociationanditsmembersimplementsafull-timecontactpersonresponsiblesystem.Thecontactpersonisresponsibleforconveyingvariousinformationprovidedbytheassociationtothepersonincharge.Whenchangingthecontactperson,aspecialpersonmustbeappointedtoberesponsibletoavoidcontactDisconnected,affectingtheoverallinterestsofthememberunit(contactpersoncanfillinmorethan2intheremarkscolumnorattachedpaper,andwritedownthedetailedcontactinformation).

6.Ifamemberunitchangesitsaddressorpersonnelchanges,itmustnotifytheassociationintimetoensurethesmoothflowofinformation.

7.Ifmemberunitswishtocommunicatewithindustryauthoritiesthroughtheassociation,theymustsubmitawrittenreport.Theassociationwillberesponsibleforsuggestingorconveyingandcoordinatingwiththeindustryauthorities;iftheassociationneedshelptocommunicatewithothermemberunits,Thepurposeofthebehaviormustbetruthfullyinformedtotheassociationinadvance;ifthesupportoftheassociationorjointorganizationofactivitiesisrequired,alettermustbewrittentothesecretariatoftheassociationinadvance;themember’srequesttheassociationwillprovidetimelyfeedback.

8.Individualmembershiprequirements:①havemadeagreatcontributiontotheindustryortheassociation,orhaveahighreputationintheindustry;②recommendedbymorethan2members.

ArticlesofAssociation

ChapterOneGeneralProvisions

Article1ThenameoftheassociationisGuangdongInternetAssociation(EnglishnameGuangdongInternetSociety,abbreviatedGDIS,hereinafterreferredtoas"Association").

Article2Theassociationconsistsofgovernmentagencies,enterprises,institutions,andindividualsengagedintheInternetindustryandInternet-relatedindustriesinGuangdongProvince,aswellasallenterprises,institutionsandpeoplefromallwalksoflifewhocareaboutandareinterestedinpromotingthedevelopmentoftheInternetindustryinGuangdongAprovincial,non-profit,voluntary,comprehensivesocialorganizationthatpromotesthehealthy,orderlyandrapiddevelopmentoftheInternetinourprovinceandservessocialdevelopmentandeconomicconstruction.Itisregisteredandestablishedinaccordancewiththelawandhasthestatusofacorporatelegalperson.

Article3Thepurposeoftheassociationis:abidebythenationalconstitution,lawsandregulations,andabidebysocialethics;uniterelatedenterprises,institutionsandacademicgroupsintheInternetindustryacrossthecountry,andorganizeinternalorganizationstoformulateconventionsandregulations,Safeguardtheoverallinterestsoftheindustryandrealizeindustryself-discipline;coordinatetheexchangesandcommunicationbetweentheindustryandthecompetentgovernmentdepartments,publicizeandimplementnationalpolicies,lawsandregulations,improvetheapplicationlevelandservicequalityofInternettechnologyinourprovince,protectthenationalanduserinterests,andpopularizethenetworkKnowledge,promoteacivilizedInternet,guideuserstogoonlinehealthily;participateininternationalexchangesandresearchonrelatedtechnicalstandards;promotethedevelopmentoftheInternetindustryinourprovince,andcontributetothebuildingofastrongeconomicprovince,aculturalprovince,asocietyundertheruleoflaw,andaharmoniousGuangdongStrengthtocontributetothecountry’sinformatizationandmodernization.

Article6ThebusinessscopeoftheAssociation:

(1)Promotethecountry’spoliciestomembers,Lawsandregulations,reflectthewishesandreasonablerequirementsofmembersandtheindustrytothecompetentgovernmentdepartments,organizeandstrengthentheexchangesandcommunicationbetweenthecompetentgovernmentdepartmentsandmembers.

(2)FormulateandimplementInternetindustrynormsandself-disciplineconventions,coordinatetherelationshipbetweenmembers,promotecommunicationandcollaborationamongmembers,givefullplaytotheroleofindustryself-discipline,protectnationalinformationsecurity,andsafeguardtheoverallinterestsoftheindustryAndtheinterestsofusers,andimprovetheservicequalityoftheindustry.

(3)Carryoutsurveysandinformationcollection,sorting,statisticsandanalysisoftheInternetindustryinourprovince,studythedevelopmentstrategies,guidelinesandpoliciesofourprovince’sInternet,promotethedevelopmentofInternetapplications,anddiscussthedevelopmentoftheindustryPlanandmakesuggestionstothegovernmentandrelevantauthorities.

Article7Associationmembersaredividedintogroupmembersandindividualmembers.

1.Enterprises,institutions,scientificandtechnologicaleducationinstitutionsoracademicorganizationsintheInternetandrelatedindustriesapprovedbythepeople'sgovernmentsatalllevels,civilaffairsdepartments,orindustrialandcommercialadministrations,andhaveacertainscale,andhaveacertaininfluenceintheindustryandprofessionalfields;

2.Havethewillingnesstojointheassociation,supportandabidebytheassociation'sconstitution.

(2)Conditionsofindividualmembership

1.Chinesecitizenswhohavelegalpoliticalrightsandhavecertainexpertiseorinfluenceintheindustryorprofessionalfield;

2.Havethewillingnesstojointheassociation,supportandabidebytheassociation'sconstitution.

Article9Theprocedureforjoiningtheassociationis:

1.Submitanapplicationformembership;

2.ApprovedbytheAssociation’sStandingCouncil(bytheSecretariatduringtheinter-sessionalperiod);

3.Themembershipcardisissuedbythesecretariat.

Article10Membersenjoythefollowingrights:

(1)Therighttovote,beelectedandvotewithintheassociation;

(2)SuggestionsfortheworkoftheassociationRight,criticismandsupervision;

(3)Prioritytoobtaintheservicesoftheassociation;

(4)Participateinvariousactivitiesorganizedbytheassociationandotherrightsinaccordancewiththeprovisionsofthisconstitution;

(5)Membershipisvoluntary,andmembershipisfree.

Article11,membersneedtoperformthefollowingobligations:

(1)ObservethearticlesofassociationoftheAssociation;

(2)ImplementtheresolutionsoftheAssociation;

(4)MaintainthelegalrightsandinterestsoftheAssociationandtheindustry;

(5)CompletetheworkassignedbytheAssociation;

(6)ReportthesituationtotheAssociationandproviderelevantinformation.

Article12Standardsformemberstopaymembershipdues:

(1)Thepresidentunitpays60,000yuanofduesannually;

(2)Vice-chairmanTheunitpays40,000yuanindueseveryyear;

(3)Thestandingdirectorunitpays10,000yuanindueseveryyear;

(4)Thedirectorunitpays2,000yuanindueseveryyear;

(5)Memberunitspayannualmembershipfeeof1,000yuan;

(6)Individualmemberspayannualmembershipfeeof100yuan.

Article13MemberswhowithdrawfromthemembershipshouldnotifytheAssociationinwritingandreturnthemembershipcard.Ifamemberfailstopaymembershipduesforoneyearwithoutavalidreason,andfailstoperformmembershipobligations,heshallbedeemedtohaveautomaticallywithdrawnfromthemembership.

Article14IfamemberseriouslyviolatesthearticlesofassociationoftheAssociation,themembershipwillbecancelledafterdiscussionanddecisionbytheboardofdirectorsorthestandingboardofdirectors.

Chapter4OrganizationandResponsiblePerson’sElectionandRemoval

Article15Thehighestauthorityoftheassociationisthememberrepresentativeassembly.Responsibilitiesare:

(1)Formulateandrevisetheassociationcharter;

(2)Electionordismissmembersoftheboardofdirectors;

(3)Reviewtheboardofdirectors

(4)Decideontheterminationoftheassociation;

(5)Decideonotherimportantmattersoftheassociation.

Article16Thememberrepresentativeassemblymustbeconvenedbymorethantwo-thirdsofthememberrepresentativespresent,anditsresolutionmustbepassedbymorethanhalfoftherepresentativestotakeeffect.

Article17Thememberrepresentativeassemblyisheldeveryfouryears.Whenthemeetingneedstobeheldinadvanceorpostponedduetospecialcircumstances,itmustbeapprovedbytheboardofdirectors,submittedtotheprofessionalsupervisoryunitforreviewandapprovedbytheorganizationregistrationmanagementagency,buttheextensionofthetermshallnotexceed1year.

Article18Thecouncilistheexecutivebodyofthemembercongress,leadingtheassociationtocarryoutdailyworkwhenthemembercongressisnotinsession,andisresponsibletothemembercongress.Theboardofdirectorshasonepresident,severalvicepresidents,onesecretary-general,andseveraldirectors.

Article19Theresponsibilitiesoftheboardofdirectorsare:

(1)Toimplementtheresolutionsofthememberrepresentativeassembly;

(2)Toelectorremovethepresident,VicePresidentandSecretaryGeneral;

(3)Preparefortheconveningofthememberrepresentativeconference;

(4)Reporttheworkandfinancialstatustothememberrepresentativeconference;

(5)Decideontheabsorptionanddelistingofmembers;

(6)Decideonmatterssuchastheestablishmentofoffices,branches,representativeofficesandentities;

(7)Decideonthedeputysecretary-generalAndtheappointmentofthemainpersonsinchargeofeachorganization;

(8)Leadingtheworkofthevariousorganizationsoftheassociation;

(9)Formulatingtheinternalmanagementsystemoftheassociation;

(10.Decideonotherimportantmattersoftheassociation.

Article20Theresolutionsoftheboardofdirectorsmustbepassedbymorethan2/3oftheboardmemberspresentbeforetheycantakeeffect.

Article21Theboardofdirectorsmeetsonceayear.Canbeheldintheformofcommunication.

Article22Theassociationestablishesastandingcouncil.Thestandingcounciliselectedbythecouncil,exercisesthefunctionsandpowersofthecouncilwhenthecouncilisnotinsession,andisresponsibletothecouncil.

Article23TheresolutionsoftheStandingCouncilmustbeapprovedbymorethan2/3ofthestandingdirectorspresentbeforetheycantakeeffect.

Article24TheStandingCouncilwillholdameetingeverysixmonths.Canbeheldintheformofcommunication.

Article25Thepresident,vice-president,andsecretary-generaloftheassociationmustmeetthefollowingrequirements:

(1)Adheretothefourbasicprinciplesandtheparty’spolicies,politicalGoodquality;

(2)Haveagreatinfluenceintheindustryorprofessionalfield;

(3)Themaximumageofthepresident,vicepresident,andsecretary-generalisnotmorethan70yearsold;

(4)Behealthyandabletoworknormally;

(5)Havenotbeendeprivedofpoliticalrightsorabovecriminalpenalties;

(6)HaveFullcapacityforcivilconduct.

Article26Ifthepresident,vice-president,andsecretary-generaloftheassociationexceedthemaximumage,theymustbeapprovedbytheboardofdirectors,andsubmittedtotheprofessionalsupervisoryunitforreviewandapprovalbytheorganizationregistrationmanagementauthority.Canonlyserve.

Article27Thetermofofficeofthepresident,vicepresident,andsecretarygeneraloftheassociationisfouryears.Canbere-elected,butthesamepositionisgenerallyre-electedfornomorethantwoconsecutiveterms.Ifitisreallynecessarytoextendthetermofofficeduetospecialcircumstances,itmustbeapprovedbythememberrepresentativeassembly,submittedtotheprofessionalsupervisoryunitforreview,andapprovedbytheorganizationregistrationmanagementauthoritybeforetakingupthepost.

Article28Thepresidentisthelegalrepresentativeoftheassociation.Ifduetospecialcircumstances,thevicepresidentorsecretarygeneralneedstobethelegalrepresentative,itshallbeapprovedbytheboardofdirectors,reportedtotheprofessionalsupervisoryunitforreview,andapprovedbytheorganizationregistrationmanagementdepartmentbeforeactingasthelegalrepresentative.

Thelegalrepresentativeofthisassociationdoesnotconcurrentlyserveasthelegalrepresentativeofothergroups.

Article29Thepresidentoftheassociationshallperformthefollowingduties:

(1)Conveneandpresideoverthecouncilorstandingcouncil;

(2)InspectionTheimplementationoftheresolutionsofthememberrepresentativeassembly,theboardofdirectors,andthestandingboardofdirectors;

(3)Representativesorauthorizedvicepresidentsandsecretary-generalstosignrelevantimportantdocumentsonbehalfoftheassociation.

Article30TheSecretaryGeneraloftheAssociationshallexercisethefollowingpowers:

(1)Presideoverthedailyworkoftheassociation’sofficeandorganizetheimplementationoftheannualworkplan;

(2)Coordinatingtheworkofvariousbranches,representativeoffices,andentities;

(3)Nominatingthedeputysecretary-generalandtheprincipalpersonsinchargeofvariousoffices,branches,representativeoffices,andentities,afterthecouncilorAppointmentaftertheStandingCouncilmakesadecision;

(4)Decideorauthorizethepersoninchargeoftherelevantagencytodecideontheemploymentoffull-timestaffoftheoffice,representativeoffice,andentity;

(5))Responsibleforotherdailyaffairsoftheassociation.

Chapter5AssetManagementandUsePrinciples

Article31ThesourceoffundingfortheAssociation:

(1)Membershipfees;

(2)Donation;

(3)Funding;

(4)Incomefromactivitiesorservicescarriedoutwithintheapprovedbusinessscope;

(5)Interestincome;

(6)Otherlegalincome.

Article32Theassociationcollectsmembershipduesinaccordancewithrelevantregulationsonnationaldues.

Article33Thefundsoftheassociationmustbeusedforthebusinessscopeandcareerdevelopmentstipulatedinthisconstitution,andmaynotbedistributedamongmembers.

Article34TheAssociationshallestablishafinancialmanagementsysteminaccordancewithnationallawsandrelevantregulationstoensurethataccountinginformationislegal,true,accurateandcomplete.

Article35Theassociationisequippedwithprofessionallyqualifiedaccountingpersonnel.Accountingshouldnotactascashier.Accountantsmustconductaccountingcalculationsandimplementaccountingsupervision.Whenanaccountantistransferredorresigned,hemustcompletethehandoverprocedureswiththereceiver.

Article36Theassetmanagementoftheassociationmustimplementthefinancialmanagementsystemprescribedbythestate,andacceptthesupervisionofthememberrepresentativeassemblyandrelevantdepartments.Ifthesourceofassetsisstateappropriationorsocialdonationorfunding,itmustacceptthesupervisionoftheauditingagencyanddisclosetherelevantinformationtothepublicinasuitablemanner.

Article37Theassociationmustacceptthefinancialauditorganizedbytheassociationregistrationmanagementauthorityandtheprofessionalsupervisoryunitbeforechangingthetermorchangingthelegalrepresentative.

Article38Theassetsoftheassociationshallnotbeembezzled,privatelydividedormisappropriatedbyanyunitorindividual.

Article39Thesalary,insurance,andwelfarebenefitsofthefull-timestaffoftheassociationshallbeimplementedinaccordancewiththerelevantregulationsofthestateonpublicinstitutions.

ChapterVIProcedureforAmendingtheArticlesofAssociation

Article40AmendmentstotheAssociation’sArticlesofAssociationshallbeapprovedbytheboardofdirectorsandthensubmittedtothememberrepresentativeassemblyfordeliberation..

ChapterVIITerminationProceduresandPropertyDisposalafterTermination

Article42Theassociationneedstodissolveonitsownorduetodivision,merger,etc.Ifcancellationisrequired,theboardofdirectorsorthestandingboardofdirectorsshallproposeamotionfortermination.

Article43Theassociation'sterminationmotionmustbeapprovedbythememberrepresentativeassemblyandsubmittedtotheprofessionalsupervisoryunitforreviewandapproval.

Article44Beforetheassociationterminates,aliquidationorganizationmustbeestablishedundertheguidanceoftheprofessionalsupervisoryunitandrelevantagenciestocleanupclaimsanddebtsanddealwiththeaftermath.Duringtheliquidation,nottocarryoutactivitiesotherthanliquidation.

Article45Theassociationshallterminateaftertheregistrationandmanagementauthorityoftheassociationhasgonethroughtheproceduresforcancellationofregistration.

Article46Theremainingpropertyaftertheterminationoftheassociationshallbeusedforthedevelopmentofbusinessrelatedtothepurposeoftheassociationunderthesupervisionoftheprofessionalsupervisoryunitandtheassociationregistrationmanagementagencyinaccordancewithrelevantnationalregulations.
